Equity Event Readiness Planner

Cross-functional countdown checklist for any equity event.

Your stock administration platform processes the event. This tool orchestrates the work around it. Pick the event type, set the date, and get a phased countdown checklist with task owners, rationales, and coordination email drafts for payroll, legal, comms, and accounting.

Deterministic checklist library. No AI in the generation path. Stage-aware (private vs public). Outputs copy and download as plain markdown.

What this tool is, and what it isn’t

Deterministic, not AI

Checklists and email drafts are pulled from a curated library in src/lib/eventReadinessChecklists.ts. AI is not used to invent or interpret tasks. Templates fill with your typed inputs only.

Stage-aware

Some items apply only to public companies (Section 16, lockup insider obligations) or only to private companies (409A refresh, tender mechanics). The right items show based on your stage selection.

Starting checklist, not the whole job

Every event is unique. Treat the output as a kickoff agenda: cross-check with your specific transaction agreement, plan document, and cross-functional partners. Tailor before executing.

Not legal advice

Acceleration mechanics, Section 16 timing, 409A implications, and tax treatment are governed by the specific agreement and counsel. This is education, not advice.

Event

Owners (optional)

Name the partner on each function. Defaults to the function label, which is fine for a v1 plan.

Subject: RSU double-trigger vest at IPO — supplemental withholding plan

Hi Payroll team,

The IPO trigger is on track for 2026-09-15. The double-trigger RSU population vests on that date and creates a single-day supplemental wage event.

- Event: Acme IPO double-trigger vest
- Trigger date: 2026-09-15
- Estimated affected employees: 850
- Estimated shares: 4,200,000

Asks:
1. Choose withholding method (sell-to-cover, net-share, cash). Recommendation: sell-to-cover post-IPO if liquidity is open day one; otherwise net-share.
2. Configure supplemental-wage rate logic (22% federal up to threshold, 37% above; plus state).
3. Plan reconciliation timing for shares delivered vs withholding remitted.

I can pull a population summary by withholding tier this week. Want to set up a sync after that?

Thanks,
Total Rewards

## Recommended next steps
1. Schedule a cross-functional kickoff with TR, equity ops, payroll, legal, accounting, IR, and comms. Walk the countdown checklist line by line and assign each owner.
2. Confirm the platform-of-record (Fidelity / Shareworks / Computershare / E*TRADE / Carta) is configured for the event mechanics; the workbench does not process the event.
3. Send the coordination emails on the cadence the checklist sets out; cc TR / legal so the audit trail lives in one thread.
4. Save the assumption sheet (event type, dates, scope) alongside the memo so the post-event review uses the same baseline.
